THE MEANING OF THE TERMS AND DEFINITIONS USED IN THE OFFER
The seller is a private production unitary enterprise "Ninel Chic".

The Buyer is any natural person, including a non–resident, who has accepted the offer and purchases Goods for personal, family, household and other needs not related to business activities.

The Parties – an indication of the Seller and the Buyer when mentioned together in this Agreement;

Online store is an information resource of the Seller on the global computer network at the address https://www.ninele.by /, which allows you to select and place an Order for the purchase of Goods from the Seller.

Product – a product, information about which is posted in the Online store and intended for sale.

Offer – this document “Public Offer No. 1 dated 05/18/2023

A contract is a contract for the retail sale of Goods between a Seller and a Buyer, which is concluded by Accepting an offer.

Acceptance of the offer is the full and unconditional acceptance of this public Offer by performing the actions specified in clause 4.1. of the Offer.

Registration – the Buyer fills in the registration form located in the Online store by specifying the necessary data.

An order is a completed request from the Buyer for the purchase and delivery of Goods to the address specified by the Buyer through the Online store or contacts specified in the Online store.

Privacy Policy – rules for the use of personal information received by the Seller from the Buyer.

GENERAL PROVISIONS
2.1. This public Offer is an official offer from the Seller to any individual to conclude a contract for the retail sale of Goods through an Online store on the terms defined by this Offer.

2.2. This Offer contains all the essential conditions for concluding a Contract and is a public Offer in accordance with the Civil Code of the Republic of Belarus.

2.3. The Seller and the Buyer guarantee to each other that they have the appropriate right and sufficient legal capacity, as well as all other rights and powers necessary for the conclusion and execution of this Agreement.

2.4. The terms of the Offer are determined by the Seller.

The Seller has the right to unilaterally change the terms of the Offer, including the methods and terms of payment and delivery of the Goods, as well as the prices of the Goods. All changes are brought to the attention of the Buyer by posting them in the Online store. The changes do not apply to Orders accepted by the Seller for execution.

2.5. The Buyer undertakes to familiarize himself with the terms of the Offer, information about the Product in the Online store and prices before placing an Order to the Seller and concluding the Contract.

If the Buyer does not agree with the terms of the Offer, the Order of the Goods in the Online store cannot be made.

2.6. The publication of information that obviously does not correspond to the Product, including prices, photos and product descriptions, is recognized as a technical error.

2.7. The legal relations between the Seller and the Buyer on the conclusion of the Contract are regulated by the legislation of the Republic of Belarus, including the provisions of the Civil Code of the Republic of Belarus, the Law of the Republic of Belarus "On Consumer Rights Protection" dated 09.01.2002, 90-Z, the Rules for the sale of Goods in remote trading, approved. By the Resolution of the Council of Ministers of the Republic of Belarus dated 01/15/2009 31 and other regulatory legal acts of the Republic of Belarus concerning the issues of retail sale.

THE SUBJECT OF THE OFFER
3.1. The subject of the Offer is the Seller's offer to the Buyer to purchase the Goods presented in the Online store for personal, family, household and other needs not related to business activities.

ACCEPTANCE OF THE OFFER
4.1. Acceptance of this Offer is the confirmation by the Seller of acceptance of the Order for execution.

4.2. The fact that the Buyer accepts the terms of this Offer is that the Buyer places an Order through the shopping cart, the "Buy in 1 click" button or by phone specified in the Online store. The Buyer's Acceptance of the offer creates a Contract on the terms of the Offer in accordance with the Civil Code of the Republic of Belarus.

RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Seller undertakes to:

5.1.1. subject to the Buyer's compliance with the conditions set forth in this Offer, transfer the Goods to the Buyer's ownership according to the Order;

5.1.2. process the Buyer's personal data and ensure their confidentiality in accordance with the procedure established by the current legislation of the Republic of Belarus.

5.2. The Seller has the right to:

5.2.1. to receive from the Buyer the information necessary to fulfill their obligations under the Agreement;

5.2.2. suspend and (or) terminate the Buyer's access to the Online Store in the event of:

– technical work carried out by the Seller or third parties in the Online store, during which partial or complete restriction of access to it is possible, as well as partial or complete restriction of the functionality of the shopping cart;

– violation by the Buyer of the terms of this Offer.

5.2.3. unilaterally withdraw from the performance of the Contract in case the Buyer admits any violation of this Offer;

5.2.4. involve third parties to perform their duties;

5.2.5. suspend the performance of their duties upon detection:

– inconsistencies in the data provided by the Buyer;

– other circumstances beyond the Seller's control;

5.2.6. to change the terms of the Offer;

5.2.7. transfer their rights and obligations under the Contract to third parties without the consent of the Buyer;

5.2.8. send advertising and informational messages to the Buyer via e-mail, viber and sms mailings with information about the status of the Order, discounts, promotions, new arrivals, etc. The frequency of mailings is determined by the Seller independently unilaterally.

5.3. The Buyer undertakes to:

5.3.1. provide reliable information about yourself necessary for the purposes of fulfilling this Offer;

5.3.2. pay for the ordered Goods and, if necessary, pay for the delivery of the Goods;

5.3.3. read and comply with the terms of this Offer;

5.3.4. upon acceptance of the Goods from the person delivering the Order, the Recipient is obliged to inspect the delivered Goods and check it for compliance with the declared quantity, assortment and completeness;

5.3.5. ensure the confidentiality of registration data: login(s) and password(s), as well as bear the risk of possible adverse consequences associated with the loss and (or) disclosure of such data by the Buyer.

5.4. The Buyer has the right to:

5.4.1. in case of questions about the Goods or the Order, contact the Seller by phone or using the online consultation tools specified in the Online store.

THE ORDER OF EXECUTION OF THE CONTRACT
6.1. The Customer's order can be placed by phone and/or through the Online store.

6.2. When placing an Order by phone, the Buyer provides the Seller with the following necessary information for placing an Order: the desired Product and quantity, the delivery address of the Product, the contact phone number, the desired time of receipt of the Order.

6.3. When placing an Order through the Online store, the Buyer fills out an electronic Order form for the Product and sends the generated Order to the Seller via the Internet.

6.4. If the Buyer has any questions regarding the description, properties and characteristics of the Product, before placing an Order, the Buyer can contact the Seller by phone or using the online consultation tools specified in the Online store.

6.5. The Seller has the right to refuse to confirm or fulfill the Order to the Buyer in the case of:

– the absence of the necessary Goods (their quantity);

– the discovery of a technical error in it related to the operation of the software on the Seller's side or third-party services that ensure its functioning, including those resulting from illegal actions on the part of third parties.

The Seller informs the Buyer about this in any available way.

6.6. The sale of Goods is carried out at the price indicated in the Online store (except for a technical error), and on the terms set out in this Offer and in the Online store.

PAYMENT AND DELIVERY OF GOODS
7.1. Payment for goods (goods) and delivery services is carried out in the form of non-cash payment in accordance with the established procedure:

7.1.1. By bank card in online mode. The following bank payment cards are accepted for payment: VISA (of all types), MasterCard, Maestro, BELCARD, MIR. The seller does not receive, process or save the bank card data.

7.1.2. Through electronic payment systems.

7.1.3. To the Seller's current account.

7.1.4 Payment for delivery services can be made directly to the transport company delivering the goods to the Buyer.

7.2 The delivery of the goods to the Buyer is carried out through any transport companies, depending on the most optimal delivery time to the address specified by the Buyer, and is a paid service for the Buyer.

7.3. Delivery is a separate service that is not an integral part of the Product purchased by the Buyer. Its execution ends at the moment of receipt of the Goods by the Buyer and payment for it.

7.4. Payment of the Goods by the Buyer and its delivery by the Seller under this Agreement are the proper performance and terminate the obligations of the parties.
